1. Acceptance of Terms

By accessing or using TalentSource (the "Service"), operated by TalentSource ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users of the Service, including companies posting jobs, candidates seeking opportunities, recruiters, and any other visitors or users.

2. Description of Service

TalentSource is an AI-powered recruiting platform that connects companies with candidates. The Service includes:

  • AI-powered candidate sourcing across 200M+ professional profiles
  • Multi-channel outreach automation (email, SMS, and LinkedIn)
  • Automated candidate prescreening and qualification
  • AI-powered interview intelligence with transcription, notes, and scoring
  • Real-time salary benchmarking and market intelligence
  • Recruiting marketing and job distribution across job boards and professional networks
  • Pipeline management, ATS-style workflow, and team collaboration tools
  • Candidate privacy controls, company blocking, and visibility management
  • Our optional Elevate concierge hiring service and Enterprise Partnership programs

3. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain more than one account without prior written consent.
  • You must promptly notify us of any unauthorized use of your account or any other breach of security.

4. Company Subscriptions and Payments

4.1 Subscription Plans

Company access to TalentSource requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be updated from time to time. All plans require a minimum commitment period as specified at the time of purchase.

4.2 Billing

Subscriptions are billed in advance on a monthly basis. You authorize us to charge your payment method for the applicable fees. All fees are non-refundable except as expressly stated in these Terms or in a separately executed agreement.

4.3 Elevate Fees

The Elevate concierge service incurs an additional placement fee, calculated as a percentage of the hired candidate's first-year base salary. The applicable rate is specified at the time of Elevate engagement. Placement fees are due NET 30 from the candidate's hire date.

4.4 Enterprise Partnership

Enterprise Partnership engagements are governed by separately executed agreements that may include performance-based pricing, placement guarantees, and custom service terms. In the event of a conflict between these Terms and an Enterprise Partnership agreement, the Enterprise Partnership agreement shall control.

5. Candidate Accounts

Candidate accounts are free. By creating a candidate profile, you agree to provide accurate information about your qualifications, experience, and job preferences. You grant TalentSource the right to share your profile information with companies in accordance with your privacy settings and our Privacy Policy.

Candidates may be contacted by TalentSource or companies using the platform through email, SMS, LinkedIn, or in-app messaging as part of the recruiting process. You may opt out of automated outreach at any time through your account settings or by responding to any message with opt-out instructions.

6. AI-Powered Features

6.1 AI Sourcing and Matching

TalentSource uses artificial intelligence to source candidates from aggregated professional databases, match candidates with jobs, rank candidates by fit, and generate recommendations. While we strive for accuracy, AI-generated results are provided as suggestions and should not be the sole basis for hiring decisions.

6.2 Automated Prescreening

Our AI may conduct automated prescreening conversations with candidates via SMS and email to assess salary expectations, certifications, availability, and interest level. Candidates may opt out of automated prescreening at any time.

6.3 Interview Intelligence

If enabled by the company, our Interview Intelligence feature may record, transcribe, and analyze interview conversations to generate structured notes and competency assessments. All participants must be informed of and consent to recording prior to the interview, in compliance with applicable recording consent laws. Companies are responsible for obtaining necessary consent from interview participants.

6.4 Market Intelligence

Salary benchmarking and market intelligence data is derived from aggregated, anonymized candidate interactions. This data is provided for informational purposes only and should not be relied upon as the sole basis for compensation decisions.

6.5 Limitations

We do not guarantee the accuracy, completeness, or suitability of AI-generated matches, scores, recommendations, transcriptions, or market data. Users acknowledge that AI systems may produce errors and should exercise independent judgment in all hiring decisions.

7. Data Ownership and Portability

7.1 Your Content

You retain ownership of content you submit to the Service (e.g., job postings, resumes, company profiles). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

7.2 Talent Database

For Enterprise Partnership clients, candidate data sourced through the platform is maintained in a client-accessible talent database. This candidate data is owned by the client and may be exported at any time in CSV or JSON format at no additional charge. Upon termination of the partnership, client data remains accessible for export for a period of 30 days.

7.3 Platform IP

The Service, including its design, features, AI models, algorithms, and underlying technology, is owned by TalentSource and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of the Service without our prior written consent.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Post false, misleading, or fraudulent job listings or profile information
  • Harass, abuse, or discriminate against any user of the Service
  • Scrape, crawl, or use automated means to access the Service without our written consent
  • Attempt to gain unauthorized access to any part of the Service
  • Use the Service to collect personal information about users for purposes unrelated to recruiting
  • Send unsolicited communications outside of the platform's outreach tools
  • Use AI-generated interview notes or candidate data in a manner that violates anti-discrimination laws
  • Circumvent candidate privacy controls, company blocking, or opt-out preferences
  • Post spam, solicitations, or unauthorized advertising
  • Circumvent or interfere with security features of the Service

9. Communications Compliance

By using our multi-channel outreach features, you agree to comply with all applicable communications laws, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA) for SMS communications
  • The CAN-SPAM Act for email communications
  • LinkedIn's Terms of Service for LinkedIn-based outreach
  • Applicable state and international communications regulations

TalentSource provides tools to manage opt-outs and consent, but you are ultimately responsible for ensuring your outreach campaigns comply with applicable law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, or secure. We do not endorse or guarantee the qualifications of any candidate, the legitimacy of any job posting, or the accuracy of any AI-generated content, scores, or market data.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALENTSOURCE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM AI-GENERATED RECOMMENDATIONS, AUTOMATED OUTREACH, OR HIRING DECISIONS MADE IN RELIANCE ON THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless TalentSource, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, your outreach campaigns conducted through the Service, or infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Service ceases immediately. For Enterprise Partnership clients, data export rights survive termination for 30 days as described in Section 7.2. Provisions that by their nature should survive termination (including Sections 7, 10, 11, 12, and 14) will remain in effect.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Orange County, Florida.

Before initiating any legal proceeding, you agree to first attempt to resolve the dispute informally by contacting TalentSource Admin. If the dispute is not resolved within 30 days, either party may proceed with formal legal action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the revised Terms.
